Article of Incorporation

Article I
General Provisions

Section 1.
The official name of the Association shall be The Chinese (Taipei) 
Association of Clinical Biochemistry (CACB)

Section 2.
The objectives of The Chinese (Taipei) Association of 
Clinical Biochemistry herein after referred to as the Association,
exists to promote clinical biochemistry related research, 
development and application, 
and to facilitate and encourage active exchanges 
with International Federation of Clinical Chemistry 
and other foreign societies, and to promote the health 
and wellbeing of communities it serves in Taiwan.

Section 3.
The Association shall have its operating premises furnished in the city 
where the Central Government of the Republic of China is located.

Section 4.
The Association will establish the branch office, 
the organization will be yet established

Article II
Missions

Section 5.
The Association shall dedicate itself to the missions as follows:
a. To pursue advances in the research and applications 
of Clinical Biochemistry and allied specialties

b. To organize and conduct regular and irregular scientific presentations 
and symposiums related 
to clinical biochemistry and allied specialties;

c. To edit scientific manuscripts or publish magazines or 
periodicals related to Clinical Biochemistry, 
and allied specialties;

d. To facilitate international scientific exchange related to 
Clinical Biochemistry, 
and allied specialties to strengthen our scientific prestige.  

e. To coordinate with public and private medical 
and research institutions either domestic 
or offshore to facilitate the development of Clinical biochemistry, 
and allied specialties;

f. To manage any other items related with the promotion of health 
and wellbeing of communities it serves in Taiwan.

Article III
Membership

Section 6.
Membership of the Association shall be classified into the following five categories: 
Individual Membership, Institution Membership, 
Sponsoring Membership, Honorary Membership 
and permanent Membership.

Section 7.
a.    Individual Membership: 
Application for individual membership shall be endorsed by two active members, 
and the membership shall be conferred upon the approval 
by the Association’s Board of Directors.
Individual membership shall be eligible to any persons holding a certificate 
or degree in Clinical Biochemistry-related discipline issued by a local 
or a foreign institute plus more than two years’ experience 
in practicing Clinical Biochemistry-related specialties 
or presenting Clinical Biochemistry-related published manuscripts.

b.    Domestic and International medical, dental graduates

c.    Professional school graduates plus more than five years’ experience 
       in practicing Clinical Biochemistry-related 
       specialties or more than three years’ experience presenting 
	   Clinical Biochemistry-related published manuscripts.

d.    High school graduates plus more than ten years’ experience 
        in practicing Clinical Biochemistry-related 
        specialties or more than six years’ experience presenting 
		Clinical Biochemistry-related published manuscripts.

Section 8. 
Institution membership:
Application for public or private institution membership 
shall be endorsed by two active members, 
and the membership shall be conferred upon the approval 
by the Association’s Board of Directors. 
It shall delegate one individual to participate in any the different activities.

Section 9.
Permanent membership:
Any individual member who paid 20 years membership dues at one time

Section 10.
Sponsoring Membership:
Sponsoring membership shall be bestowed to individuals or organizations 
who are interested in research and development of association 
by providing solid support in terms of funding as well as donations. 
Sponsoring membership shall be conferred upon the approval 
by the Association’s Board of Directors.

Section 11. 
Honorary Membership:
Honorary membership shall be bestowed 
to individuals with extraordinary contribution to the Association. 
Honorary membership shall be conferred 
upon the approval by the Association’s Board of Directors.

Articles IV  
Rights and Responsibilities

Section 12. 
Members Right and Responsibilities as follows :
(1)  Personal and Institutional membership
Shall be entitled to the right to say, the right to vote 
and the right to recall, the right to elect and to be elected

Shall be entitled to the right to attend the Association ’s General Assembly 
and other activities organized by the Association;

Shall fulfill the obligation to abide by the Association’s Constitution 
and Bylaws and the obligation to support 
and follow the resolutions approved by the Association;

Shall fulfill the obligation to pay the regular membership dues;

Shall fulfill the obligation to assume the offices appointed by the Association.

(2) Sponsoring and Honorary Membership:
Shall be entitled to the same rights granted to individual members, 
except for the right to vote, the right to elect, the right to be elected, 
and the right to recall. Sponsoring 
and honorary members are required to fulfill the same responsibilities 
assumed by individual members, 
except that membership dues are waived for honorary members.

Article V
Organization

Section 13. 
The Association’s highest authority and command lies in the General Assembly. 

The Board of Directors shall serve as the executive team, 
operating the official affairs of the Association on behalf of the General Assembly 
when the meeting is not in session. 

The Board of Supervisors shall serve as the Association’s watchdog body. 

The rights of the General Assembly is as follows:

(1).
To draw up and amend the Association’s Constitution;

(2).
To elect or recall the Association’s directors and supervisors;

(3).
To discuss the Association’s official business and lay out working plans;

(4).
To pass the Association’s future operating budget 
and previous final balance sheet;

(5).
To approve disposal of the Association’s property;

Section 14. 
The Board of Directors shall consist of nine directors 
and 3 alternative directors. 
The Board of Supervisors shall consist of 3 supervisors 
and 1 alternative supervisor. 
Directors-elect and supervisors-elect shall hold office for a period of three years 
and renewable upon re-election.

Section 15. 
The nine directors, upon election, 
shall proceed to elect three Standing Directors, 
who are in turn to elect one director to chair the Board of Directors 
and to represent the Association as its President. 
The elected president shall hold office for a period of three years, 
and the period is renewable once and once only upon re-election.

Section 16. 
The supervisors, upon election, shall proceed to elect one Standing Supervisor 
to oversee the Association’s official affairs 
and audit balance sheets, respectively

Section 17. 
All board offices bearers are voluntary and unsalaried in nature.

Section 18. 
The Association’s directors and supervisors shall be elected 
by the active individual members 
in the General assembly by way of secret ballot. 
It shall establish the election committee 
upon approval by Ministry of Interior to elect through mail ballot.

Section 19. 
As necessary, the incumbent president may appoint an honorary president, 
honorary board of directors and several advisors. 
Such appointments shall be conferred upon the approval 
by the Association’s Board of Directors.  
	
Section 20.
The Association shall appoint a Secretary-General 
and several Administrative Officers. 
Secretary-General shall be nominated by the Association’s President 
and approved by the Board of Directors. 
Major responsibilities of the Secretary-General include:
a.    To manages the Association’s official affairs under the President’s instructions.

b.    To keeps custody of the Association’s official seal.

c.    To compile and keep complete and accurate minutes of all meetings,

d.    To keep all official documents and correspondences

e.    To manage business related to membership application and registration;

f.     To advice bookkeeping related to the Association’s income and expenditure 
 counsel the safekeeping of all receipts and financial documents;

g.    Other business: Administrative Officers serves as the secretary’s assistants

Section 21. 
The Association shall assign several committees to meet organization needs; 
Unless otherwise arranged or appointed, such committees shall be chaired by 
a member of the Association’s Board of Directors/Supervisors. 
The organization bylaws of such committees shall be stipulated at other times.

Section 22. 
The Board of Directors/Supervisors shall declare vacant any office for 
which an incumbent director/supervisor has the following:

a.    Voluntary resignation upon approval by general assembly

b.    Automatic resignation upon being convicted of criminal charges.

c.    To be aloof against his/her assignment upon 
       approval by general assembly for his/her removal

d.    To commit something against the law in his/her position 
       or other major misconduct upon approval by general assembly for his/her removal

e.    The director/supervisor fails to attend two consecutive board meetings 
       without providing any reasonable excuse, 
       absences shall be deemed equivalent to voluntary resignation

Article VI
Meetings
	
Section 23.
The Association shall conduct the General Assembly at least once a year. 
Assembly ad interim may be arranged at any time 
upon approval by Ministry of Interior.

Section 24. 
Two months prior to the general Assembly, 
it shall establish the organizing committee to oversee the agenda except 
when it is urgent.

Section 25. 
The Board of Directors and/or the Board of Supervisors 
shall conduct a regular meeting every six months. 
The standing boards of directors at least every 3 months.
Extra board meetings or joint meetings of directors and supervisors 
may be arranged at any time when deemed necessary.

Section 26 
The president of the association and standing supervisors 
should chair the board meeting regularly. 
Failure to hold board meetings for two consecutive calendar periods 
shall be submitted to ministry of interior for removal; 
Immediate reelection of new team of board of directors and supervisors are warranted...

Section 27 The director/supervisor should attend the board meeting 
with physical presence without delegation to somebody 
else and fails to attend two consecutive board meetings 
without providing any reasonable excuse, 
such absences shall be deemed equivalent to voluntary resignation. 
And the position shall be replaced by the next available alternative board member/ supervisor.

Article VII
Revenues

Section 28.
The revenues of the Association shall be derived from the following sources:
(a) Admission fee in the amount of NT$200 per individual member 
     and NT$2.000 for institution members

(b).Annual membership due in the amount of NT$800 per individual member 
      and NT$5.000 for institution members 

(c ).Free donations

(d).Government financial endowment, funds

(e).Interests;

(f). Other sources.

Section 29.
Inability to make payment of annual membership dues for two consecutive years 
shall be deemed equivalent 
to voluntary annulment of membership and pending a resolution 
from the Association’s General Assembly 
following the termination by the Board of the directors.

Section 30.
The Association’s final balance sheet shall be compiled into a formal report 
at the end of every calendar year 
and transferred by Board of directors to the Board of Supervisors for further review prior 
to the resolution of the General Assembly.

Article VIII
Supplementary Provisions

Section 31.
In case of the Association’s dissolution, all properties 
shall be transferred to the government in compliance 
with related regulations. The Association’s properties 
shall be by no means distributed among individual members 
or transferred to any other institutions.

Section 32.
Further detailed administrative rules and bylaws shall be stipulated accordingly

Section 33.
Upon matters related to the constitution being inadvertently incomplete or negligent, 
shall be forwarded to the General assembly for further amendment..

Section 34.
Whereupon the Association’s Constitution had been passed by the General Assembly shall be ratified 
by the Ministry of the Interior prior to implementation. Any subsequent amendments are alike.
